Vendor Agreement

This Vendor Agreement (“Agreement”) is entered into between Webdesk LLC, operator of ETSODIGIT.com (“Platform” or “ETSODIGIT”), and the individual or entity registering as a vendor (“Vendor” or “You”). By registering and using the Platform to sell digital assets, you agree to be bound by this Agreement.

1. Vendor Eligibility

1. You must be at least 18 years old and legally able to enter into this Agreement.
2. You must provide accurate, complete, and up-to-date information during registration and maintain it while using the platform.

2. Vendor Account

1. Each vendor is allowed one primary account unless explicitly approved otherwise by ETSODIGIT.
2. Vendors are responsible for keeping login credentials secure. Any activity under your account is considered your responsibility.
3. ETSODIGIT may suspend or terminate accounts for violation of this Agreement, fraudulent activity, or illegal conduct.

3. Listing and Selling Digital Assets

1. Vendors must ensure all uploaded digital assets are:
2. Accurately described and matched previews, samples, or descriptions on the product page.
3. Properly licensed and do not infringe on any third-party intellectual property rights.
4. Free from malicious code, viruses, or content harmful to buyers.
5. Vendors are responsible for setting pricing, delivery method, and licensing terms for each asset.
6. ETSODIGIT reserves the right to remove listings that violate these requirements or the Terms of Use.

4. Copyright & Intellectual Property

1. Vendors are fully responsible for all intellectual property rights and copyright compliance of their uploaded assets.
2. ETSODIGIT / Webdesk LLC does not verify ownership and assumes no liability for copyright infringements.
3. Vendors agree to indemnify and hold ETSODIGIT harmless from any claims, damages, or legal costs arising from intellectual property violations.
4. Brand Disclaimer: ETSODIGIT is an independent platform and is not associated or affiliated with any other marketplaces, including Etsy.
5. ETSO Meaning: The name ETSO stands for “Engine To Sell Online Digital Assets.”

5. Payment and Commissions

1. Vendors will receive payouts for sales after deduction of ETSODIGIT commissions and applicable fees, as defined in the Platform’s fee schedule.
2. Payments are processed via third-party providers (e.g., Stripe, PayPal).
3. Vendors are responsible for any fees or taxes associated with payouts in their country of residence.
4. ETSODIGIT is not responsible for payment delays due to third-party processor issues.

6. Delivery of Digital Assets

1. Vendors must ensure timely delivery of digital assets to buyers.
2. Delivery must occur within 48 hours of purchase unless otherwise stated on the product page.
3. Failure to deliver may result in automatic cancellation and refund to the buyer, as per the Cancellation & Refund Policy.

7. Cancellation & Refunds

1. Vendors acknowledge that cancellations are allowed only within 24 hours of purchase if the asset is not delivered.
2. Refunds are issued by ETSODIGIT only for:
3. Non-delivery within 48 hours.
4. Misrepresentation of the asset compared to its product page.
5. Vendors agree to accept refunds and may be debited for refund amounts from their payouts.

8. Vendor Conduct

Vendors agree not to:

1. Upload illegal, offensive, or harmful content.
2. Engage in fraudulent or deceptive practices.
3. Violate any applicable laws, regulations, or third-party rights.
4. Circumvent platform fees or payment mechanisms.

9. Termination

1. ETSODIGIT may suspend or terminate a vendor account for cause, including but not limited to:
2. Violation of this Agreement or Terms of Use.
3. Intellectual property infringement.
4. Fraudulent or abusive behavior.
5. Vendors may terminate their account at any time by providing written notice to ETSODIGIT.
6. Termination does not relieve vendors of obligations incurred prior to termination.

10. Limitation of Liability

1. ETSODIGIT / Webdesk LLC provides the Platform “as is” and is not liable for disputes, losses, or damages between buyers and vendors.
2. Vendors are responsible for their own compliance with tax laws, copyright, and legal obligations.
3. ETSODIGIT disclaims any indirect, incidental, or consequential damages arising from vendor activity.

11. Indemnification

Vendors agree to indemnify and hold harmless Webdesk LLC, ETSODIGIT, its officers, employees, and affiliates from any claims, damages, or expenses resulting from:

1. Vendor content or conduct on the platform,
2. Breach of this Agreement,
3. Intellectual property infringement claims,
4. Violation of applicable laws.

12. Governing Law

1. This Agreement is governed by the laws of the State of Wyoming, United States.
2. Any disputes will be resolved exclusively in the courts of Wyoming.

13. Modifications

1. ETSODIGIT reserves the right to update or modify this Agreement at any time.
2. Vendors will be notified of material changes via email or platform notification.
3. Continued use of the platform after updates constitutes acceptance of the modified terms.

Summary:

1. Vendors are fully responsible for content, copyright, and delivery.
2. ETSODIGIT collects commissions and manages payments but is not liable for vendor assets or intellectual property issues.
3. Vendors must comply with all platform rules, laws, and ethical standards.
